We draft company constitutions/articles of association, shareholder or partnership agreements and also advise on statutory compliance, shareholder and directors’ responsibilities. We prepare or review and negotiate many kinds of commercial contracts including general sale or service contracts, franchise agreements, distribution agreements and other similar contracts.

We advise funds and financial institutions on their investments (share or business/asset acquisitions) and also on exits/disposals. We conduct legal due diligence on targets, draft and negotiate legal documentation, offer general transaction advice and specified advice for regulated entities (including approvals needed), recommend and monitor conditions to closing and attend to transaction closing formalities. We provide legal advice on Kenyan competition law, we prepare and lodge applications for merger approvals, advice on restrictive trade practices and consumer protection laws. We also advise similarly on COMESA competition laws where clients have regional operations.

We advise on regulatory and licensing requirements, ongoing compliance, drafting of standard form documentation, completion of regulatory questionnaires, drafting of bank security documents such as debentures, mortgages, charges and other securities.
